(IFN) OFT clears Dagsbrun?s Wyndeham buy

Reykjavik (IFN) The UK's Office of Fair Trading (OFT) said Tuesday that it has decided, on the information currently available to it, not to refer the anticipated acquisition by Icelandic media group Dagsbrun of Wyndeham Press Group to the Competition Commission under the provisions of the Enterprise Act 2002.

Daybreak Acquisitions, an acquisition vehicle fully-owned by Dagbrun, last month agreed to acquire London-listed Wyndeham in a deal worth GBP80.6 million.

Dagsbrun's offer is wortht 155 pence in cash for each Wyndeham Share, which values the existing issued share capital of Wyndeham at approximately GBP80.6 million, and represents a premium of 21.6% to the closing price of 127.5 pence per Wyndeham share on 22 March 2006, being the last business day prior to the commencement of the offer period.
