Finnish company Novator Finland Oy said on Wednesday (20 July) that it had decided to complete its public tender offer for all of the issued and outstanding shares and share options in the Finnish telecomms operator Saunalahti Group Oyj and purchase the shares and options tendered. According to the final result of the tender offer, the shares tendered in the offer represent some 1.38% of Saunalahti shares and votes. By completion of the tender offer, the ownership of Novator will increase to 32.23% of shares and votes in Saunalahti. Novator and the Finnish company Ajanta Oy have previously entered into a shareholders' agreement which grants Novator the right to use the votes pertaining to the shares in Saunalahti owned or controlled by Ajanta. As a result, the control of Novator will increase to 41.15% of votes in Saunalahti. Novator also said that Novator and Ajanta have committed to participate in the proposed public share exchange offer by the Finnish telecomms group Elisa Oyj for Saunalahti. Novator Finland is ultimately owned by Novator International Ltd, which is beneficially owned by the London-based Icelandic investor Thor Bjorgolfsson.
